1. Informational Website; No Online Sales

The Site provides general information about LightLi, our products, our technology, product support, and related subjects.

The Site does not offer products for purchase directly through the Site. Products displayed on the Site may be sold by independent retailers or other third parties. Any purchase from a third party is governed by that third party's prices, availability, policies, and terms. LightLi is not responsible for a third party's sales transaction except to the extent expressly provided in an applicable LightLi written product warranty.

Nothing on the Site constitutes an offer by LightLi to sell a product directly to you.

2. Limited Permission to Use the Site

Subject to these Terms, LightLi grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site and its content for your personal, lawful, and noncommercial purposes.

This permission does not transfer ownership of the Site or any content to you. All rights not expressly granted are reserved by LightLi and its licensors.

3. Prohibited Uses

You may not:

• Use the Site or its content for an unlawful, fraudulent, or unauthorized purpose;
• Copy, reproduce, republish, distribute, sell, license, publicly display, or commercially exploit Site content except with our prior written permission;
• Modify, translate, adapt, or create derivative works from Site content;
• Remove or alter copyright, trademark, patent, attribution, or other proprietary notices;
• Use automated systems, bots, scrapers, spiders, or data-mining tools to access or extract Site content, except for ordinary indexing by public search engines consistent with our technical instructions;
• Use Site content to train, develop, test, or improve an artificial-intelligence or machine-learning system without our prior written permission;
• Interfere with the operation or security of the Site;
• Attempt to gain unauthorized access to the Site, its servers, or associated systems;
• Introduce malware, viruses, harmful code, or disruptive technology; or
• Misrepresent your identity, affiliation, or relationship with LightLi.

4. Intellectual Property

The Site and its content—including text, photographs, graphics, videos, product images, designs, logos, trade dress, software, and other materials—are owned by or licensed to LightLi and are protected by applicable intellectual-property laws.

LightLi, Moving Flame, Wick to Flame, PushWick, and associated names, designs, and logos may be trademarks or other proprietary designations of LightLi or its affiliates. You may not use any LightLi trademark, logo, trade dress, or product designation in a manner that suggests sponsorship, affiliation, endorsement, or authorization without our prior written permission.

No license to any patent, trademark, copyright, trade secret, or other intellectual-property right is granted except for the limited website-use permission expressly stated in Section 2.

5. Product Information

We make reasonable efforts to present useful and accurate product information. Nevertheless:

• Product designs, features, specifications, materials, packaging, colors, dimensions, availability, and other details may change;
• Photographs and screen displays may not reproduce colors or finishes precisely;
• Products may differ by model, production run, retailer, or market; and
• Information on the Site may not reflect the most recent version of a product.

Before using a product, review the instructions, warnings, packaging, and other materials supplied with that particular product. Where information on the Site differs from the instructions or warnings supplied with a product, follow the materials supplied with the product and contact us with any questions.

6. Product Warranties

Products may be covered by a separate written limited warranty. Any applicable product warranty is governed by the terms of that warranty and applicable law.

These Terms govern use of the Site. They do not replace, expand, or eliminate an applicable written product warranty, nor do they limit any consumer right that cannot lawfully be waived.

7. Communications and Customer Support

When you contact us regarding customer support, a warranty request, or another product-related matter, you authorize us to use the information and materials you provide as reasonably necessary to review, respond to, and administer your request.

Personal information submitted to us is handled in accordance with our Privacy Policy.

Do not send sensitive personal information that is not reasonably necessary for your request.

8. Privacy

Our collection and use of personal information through the Site are governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Websites

The Site may contain links to websites, retailers, social-media platforms, or other services operated by third parties.

LightLi does not control those third parties and is not responsible for their content, products, security, availability, privacy practices, or terms. A link does not necessarily constitute an endorsement or affiliation.

You access third-party websites and services at your own discretion and subject to their applicable terms and policies.

10. Site Availability and Changes

We may update, modify, suspend, restrict, or discontinue any part of the Site at any time.

We do not guarantee that the Site will always be available, uninterrupted, secure, or free from errors. We may restrict or terminate access to the Site when reasonably necessary to protect the Site, LightLi, our users, or third parties, or when a person violates these Terms.

11. Website Disclaimer

To the fullest extent permitted by applicable law, the Site and its content are provided "as is" and "as available."

LightLi disclaims all express or implied warranties relating to the Site, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.

We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or its servers will be free from viruses or other harmful components.

This Section applies to the Site and its content. It does not disclaim an express written product warranty identified in Section 6 or any warranty or right that cannot lawfully be disclaimed.

12. Limitation of Liability

To the fullest extent permitted by applicable law, LightLi and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your access to, use of, inability to use, or reliance on the Site or its content, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, LightLi's total aggregate liability for all claims arising out of or relating to your access to, use of, inability to use, or reliance on the Site or its content will not exceed $50.

These exclusions and limitations do not apply to claims arising under an applicable written product warranty, claims for personal injury or property damage caused by a LightLi product, fraud, willful misconduct, or any liability that cannot lawfully be excluded or limited.

13. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LightLi and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:

• Your unlawful or unauthorized use of the Site;
• Your material violation of these Terms; or
• Your infringement or misappropriation of another person's rights through your use of the Site.

This obligation does not apply to the extent a claim results from LightLi's own unlawful conduct, negligence, or willful misconduct.

14. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Except where applicable law requires otherwise, any judicial proceeding arising from or relating to the Site or these Terms must be brought in the state or federal courts located in Orange County, California, and each party consents to the personal jurisdiction of those courts.

Nothing in this Section deprives a consumer of protections that cannot lawfully be waived under the law applicable to that consumer.

15. Changes to These Terms

We may revise these Terms from time to time. The revised Terms will be posted on the Site with a new effective date.

Changes apply prospectively beginning on the stated effective date. When reasonably appropriate, we may provide additional notice of material changes.

Your use of the Site after revised Terms become effective constitutes your acknowledgment of the revised Terms to the extent permitted by applicable law.

16. General Provisions

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of that provision or our right to enforce it later.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, or other business transaction.

These Terms, together with the Privacy Policy and other legal notices expressly incorporated into them, constitute the agreement concerning use of the Site. A separate written product warranty continues to govern the product warranty matters addressed in that warranty.
